In all cases, TMF's total cumulative liability to you for any and all claims arising out of or related to these Terms or your use of the Service shall not exceed the total amount paid by you to TMF in the twelve (12) months preceding the claim.

To the extent any provision of these Terms conflicts with applicable state law, such provision shall be modified only to the minimum extent necessary to comply with such law, and all remaining provisions shall remain in full force and effect.

SECTION 14 - INDEMNIFICATION

You agree to indemnify, defend and hold harmless TMF and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees from any claim or demand, including reasonable attorneys' fees, made by any third-party due to or arising out of your breach of these Terms of Service, your violation of any law or the rights of a third-party, your misuse of any products purchased from this site, or your failure to ensure proper professional use of any products purchased from this site.

SECTION 15 - DISPUTE RESOLUTION AND ARBITRATION

Please read this section carefully. It affects your legal rights.

Informal Resolution: Before filing any formal legal claim, you agree to first contact us at legal@truckmountforums.com and provide a written description of the dispute. We will attempt to resolve the dispute informally within 30 days.

Binding Arbitration: If informal resolution fails, any and all disputes, claims or controversies arising out of or relating to these Terms of Service, or the breach thereof, or your use of this site or purchase of any products, shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, rather than in court. Arbitration shall take place in Chesapeake, Virginia. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive any right to bring or participate in any class action lawsuit or class-wide arbitration against TMF.

Exceptions: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation or violation of intellectual property rights or confidential information.

SECTION 16 - SEVERABILITY

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service. Such determination shall not affect the validity and enforceability of any other remaining provisions.

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or we may deny you access to our Services (or any part thereof).

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. Any legal action or proceeding not subject to arbitration under Section 15 shall be brought exclusively in the state or federal courts located in Chesapeake, Virginia, and you hereby consent to personal jurisdiction and venue in such courts.

REFER-A-FRIEND PROGRAM TERMS

As a Refer-a-Friend member (a "Referrer"), you are subject to TMF Terms of Service and TMF Privacy Policy, as well as the following additional Terms & Conditions for the TMF Refer-a-Friend program:

Qualified Referral. A Qualified Referral is defined as a purchase made at https://shop.truckmountforums.com by a person (a "Referred Customer") who arrives at our website by clicking your Refer-a-Friend program link. You are limited to one Qualified Referral for each Referred Customer; additional or repeat purchases made by a Referred Customer are not counted as additional Qualified Referrals.

Referred Customer. The Referred Customer and the Referrer cannot be the same person (for example, by using a different email address).

Referral Rewards. For you to earn referral rewards as a Referrer, the Referred Customer must complete an order greater than $25 in total value, minus all fees including taxes, discounts, shipping, returns, chargebacks, fraudulent payments, and/or other third-party fees.

Reward Payments. Rewards are payable in increments of $10. The maximum Qualified Referrals earned per calendar year may be no more than 50 Qualified Referrals. As a Referrer, you are solely responsible for any and all tax liability resulting from Referral Rewards.

Eligibility. Eligibility is limited to individuals only. The TMF Refer-a-Friend Program cannot be used by businesses for affiliate lead generation as determined in TMF's sole discretion.

No Spam. You must comply with all applicable anti-spam laws. Emails must be created and distributed in a personal manner and bulk email distribution is prohibited. Any distribution of your referral link that could constitute unsolicited commercial email or "spam" under any applicable law or regulation is expressly prohibited and will be grounds for immediate termination of your account and exclusion from the TMF Refer-a-Friend program.

Right to Close Accounts. TMF reserves the right to close the account(s) of any Referrer and/or Referred Customer and to request proper payment if the Referrer and/or Referred Customer attempts to use the TMF Refer-a-Friend program in a questionable manner or breaches any of these Terms & Conditions or is in violation of any law, statute or governmental regulation.

Right to Cancel Program or Change Terms. TMF reserves the right to cancel the Refer-a-Friend Program or to change these Terms & Conditions at any time in its sole discretion. Any unclaimed referral rewards will be forfeited at that time.
